These Terms & Conditions (“Terms”) govern your use of the website https://toponsearch.com/ and the web development, mobile app development, e-commerce development, UI/UX design, digital marketing, SEO, and related IT services offered by DDT Software & E-Comm Pvt. Ltd. Company. By accessing our website, submitting an enquiry, or engaging our Services, you Client agree to be bound by these Terms.
1. Our Services
We provide software and digital services including, but not limited to: website design and development, e-commerce development (Shopify, WooCommerce, WordPress), mobile app development, UI/UX design, DevOps and cloud support, SEO, and digital marketing. Services are delivered on a project or retainer basis as agreed in a written quotation, proposal, or order confirmation (“Order”) between the Client and the Company. These are professional/consulting services delivered digitally; no physical goods are shipped.
2. Quotations, Orders & Scope of Work
All Services are provided based on the scope of work agreed in writing (email, proposal, or invoice) prior to commencement. Any work requested outside the agreed scope may be treated as a change request and billed additionally, subject to the Client’s approval. Estimated delivery timelines are provided in good faith but may vary depending on the complexity of the project, the Client’s responsiveness, and availability of required content/inputs from the Client.
3. Pricing & Payment
Prices for Services are as quoted in the Order and are exclusive of applicable taxes (e.g., GST) unless stated otherwise. Projects are typically billed on an advance/milestone basis (e.g., a percentage upfront, balance on delivery) as specified in the Order. Work will not commence, or may be paused, until the agreed advance payment is received. Delayed payments may result in suspension of ongoing work or support/hosting services.
4. Client Responsibilities
The Client agrees to provide timely content, feedback, approvals, and access/credentials required to complete the project. Delays caused by the Client in providing required information may extend the delivery timeline accordingly. The Client is responsible for ensuring that any content, logos, images, or material provided to us for use in the project does not infringe any third-party intellectual property rights.
5. Cancellation & Refund Policy
Since our Services involve custom digital work (development, design, or marketing effort), any advance payment made to commence work is non-refundable once work has started, except where we are unable to deliver the agreed Service due to a fault entirely on our part. If a project is cancelled by the Client before any work has commenced, any advance paid may be refunded after deducting applicable processing/administrative charges. If a project is cancelled after work has commenced, the Client will be billed for work completed up to that point, and any remaining balance of the advance (if any) will be refunded within 15 business days. Refund requests, where applicable, must be sent in writing to info@toponsearch.com. Approved refunds are processed to the original mode of payment within 7–15 business days. Digital marketing/SEO retainers billed monthly are non-refundable for the current billing cycle once work for that cycle has begun.
6. Revisions & Support
The number of design/development revisions included is as specified in the Order. Post-delivery support, bug fixes, and maintenance are covered only if included in the agreed Order or a separate maintenance/support agreement. Any additional support beyond the agreed period will be chargeable.
7. Intellectual Property
Upon full and final payment, ownership of the final delivered work (e.g., website, application source code, designs) created specifically for the Client transfers to the Client, unless otherwise agreed in writing. The Company retains the right to use general knowledge, pre-existing tools, frameworks, and proprietary code libraries used to build the deliverable. The Company may showcase completed projects in its portfolio, case studies, or marketing materials unless the Client requests confidentiality in writing.
8. Third-Party Services
Projects may involve third-party platforms, plugins, hosting providers, payment gateways, or licensed software/themes. The Company is not responsible for the pricing, policies, downtime, or changes made by such third parties.
9. Limitation of Liability
To the extent permitted by law, the Company’s total liability for any claim arising from the Services shall not exceed the amount paid by the Client for the specific Service giving rise to the claim. The Company shall not be liable for indirect, incidental, or consequential damages, including loss of revenue or business opportunity.
10. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information shared during the course of the engagement, and not to disclose it to third parties without consent, except as required by law.
11. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India. Any disputes arising out of or in connection with these Terms or our Services shall be subject to the exclusive jurisdiction of the courts at New Delhi, India.
12. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with a revised “Last updated” date. Continued use of our website or Services after changes are posted constitutes acceptance of the revised Terms.
